These Terms and Conditions apply to all quotations and resulting purchase orders issued to Aegis Terra LLC (“Aegis Terra,” “AT,” “we,” or “us”) for the provision of products and services. Aegis Terra LLC is an Original Equipment Manufacturer (OEM) and custom solution provider. All products sold by AT are either manufactured in-house or carefully integrated with select third-party components as part of our OEM solution offerings.

Any changes, exceptions, or additions to these terms must be agreed to in writing by an authorized representative of Aegis Terra LLC.
 

1. Quotation Validity

All pricing, delivery times, and conditions included in quotations are valid for thirty (30) days from the date of issuance unless otherwise agreed upon in writing. Extensions may be granted upon request.
 

2. Payment and Credit Terms

Aegis Terra reserves the right to assess the creditworthiness of any buyer prior to order acceptance. Orders may be subject to C.O.D. terms, which will be stated on the quotation. Approved credit terms require payment within thirty (30) days of the invoice date. Invoices outstanding for more than sixty (60) days will accrue a finance charge of 1.5% per month.
 

3. Taxes

All prices are exclusive of applicable federal, state, or local taxes, including but not limited to sales, use, and value-added taxes, which are the sole responsibility of the buyer.
 

4. Delivery

Products will be delivered in accordance with the schedule stated in the quotation or as acknowledged by Aegis Terra. Any scheduled releases based on a buyer’s blanket order may require mutual review and acceptance. While AT strives to meet all committed delivery dates, we are not responsible for delays caused by factors outside our control.
 

5. Shipping Terms

All shipments are F.O.B. Aegis Terra’s primary distribution location. The buyer may specify a preferred carrier; otherwise, AT will select a shipping method designed to ensure secure and timely delivery.
 

6. Warranty and Returns

As an OEM manufacturer, Aegis Terra warrants that its proprietary products will be free from defects in material and workmanship for a period of thirty (30) days from the date of shipment. If third-party components are included as part of an integrated solution, those components may be covered under the original third-party manufacturer’s warranty. In such cases, their terms will apply and take precedence.

All returns must be pre-authorized with a valid Return Material Authorization (RMA) number. Unauthorized returns will not be accepted. A 20% restocking fee applies to standard product returns. Return shipping costs are the buyer’s responsibility.

Custom products, built-to-spec solutions, and system integrations are final sale and non-refundable.
 

NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE PROVIDED.
 

7. Limitation of Liability

(A) AT’s liability for any claim will not exceed the purchase price shown on the relevant invoice.

(B) AT is not liable for any advice provided regarding the use, processing, or resale of products, whether requested or unsolicited. The buyer assumes all risks associated with such advice.
 

8. Intellectual Property Indemnity

Aegis Terra assumes no liability for any claims related to infringement of patents, trademarks, or copyrights. The buyer agrees to indemnify and hold Aegis Terra harmless from such claims.
 

9. Changes and Modifications

Any changes to specifications, schedules, quantities, or other order elements must be reviewed and accepted in writing by AT. Cost-affecting changes require a revised purchase order and mutual agreement prior to implementation.
 

10. Tooling and Intellectual Property

(A) All tooling, dies, test equipment, and design drawings (“Tooling”) used in the manufacturing process remain the sole property of Aegis Terra unless otherwise agreed in writing.
(B) Tooling charges quoted and invoiced reflect the estimated costs of production. Ownership transfer may be considered upon separate quotation of fair market value and mutual written agreement. Tooling is sold “AS IS” with no additional warranties unless explicitly stated.
 

11. Buyer-Supplied Materials

Orders involving raw materials, components, or equipment provided by the buyer are subject to mutual agreement on delivery and quality. If buyer-supplied items are deemed defective, Aegis Terra may suspend work until a satisfactory resolution is achieved.
 

12. Legal Compliance

These terms and any disputes arising from them are governed by the laws of the State of Wyoming, USA, and applicable federal statutes.
 

13. Termination

The buyer may terminate an order by providing at least forty-five (45) days written notice, subject to the following terms:

(A) The buyer agrees to accept and pay for any completed products.
(B) AT will invoice the buyer for work-in-progress, materials, and a reasonable profit.
(C) If agreement cannot be reached regarding termination costs, AT reserves the right to seek legal resolution under Section 12.
 

14. Assignment

No rights or obligations may be assigned or delegated by the buyer without written consent from Aegis Terra. Unauthorized assignments are void.
 

15. Notice Requirements

All communications must be in writing and sent via certified or registered mail to the address listed on the quotation or order confirmation.
 

16. Buyer’s Default

In the event of:
(A) Nonpayment of any invoice, or
(B) Breach of these terms not resolved within ten (10) days of written notice, Aegis Terra may, at its discretion:

(1) Suspend future deliveries,
(2) Halt goods in transit,
(3) Cancel the contract, and
(4) Pursue remedies under state or federal law.
 

These Terms and Conditions constitute the full and binding agreement between Aegis Terra LLC and the buyer for all accepted orders.
 

Aegis Terra LLC is a registered OEM Manufacturer.

We accept Visa and Mastercard.
A 3% processing fee applies to all credit card payments.
